TrackDX Terms of Use / End User License Agreement

These Terms of Use / End User License Agreement (“Terms”) govern your use of the TrackDX mobile application and related services (“TrackDX,” the “App,” “we,” “us,” or “our”). TrackDX is provided by TrackDX, LLC, a Virginia limited liability company.

By downloading, accessing, or using TrackDX, you agree to these Terms. If you do not agree to these Terms, do not use TrackDX.

1. Description of TrackDX

TrackDX is a personal health-information tracking and statistical analysis application. TrackDX allows users to record information such as symptoms, episodes, triggers, medications, and other health-related information and to analyze that information over time.

TrackDX may calculate statistics, identify patterns, display trends, and identify statistical associations among information entered by the user.

TrackDX is intended to help users organize and better understand their own health information.

2. Not Medical Advice

TRACKDX IS NOT A MEDICAL DEVICE, HEALTHCARE PROVIDER, PHYSICIAN, OR OTHER MEDICAL PROFESSIONAL. TRACKDX DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, TREATMENT, OR MEDICAL CARE.

Information, statistics, trends, patterns, and other results provided by TrackDX are for informational and educational purposes only.

TrackDX’s statistical analyses are based on information entered by the user and may be affected by incomplete, inaccurate, inconsistent, or insufficient data.

A statistical association between a medication, trigger, activity, symptom, or other factor and a health outcome does not establish that the factor caused the outcome.

TrackDX does not determine whether a medication or other treatment is medically appropriate or effective for you and does not recommend that you start, stop, change, or discontinue any medication or treatment.

Do not use TrackDX as a substitute for professional medical advice, diagnosis, or treatment.

Always consult an appropriately qualified healthcare professional regarding your health and before starting, stopping, or changing any medication, treatment, or other aspect of your healthcare.

If you believe you are experiencing a medical emergency, contact emergency medical services or seek immediate medical attention.

3. User-Provided Information

You are responsible for the accuracy and completeness of information you enter into TrackDX.

TrackDX does not independently verify information entered by users.

You acknowledge that inaccurate, incomplete, or inconsistent information may result in inaccurate, incomplete, or misleading statistical results.

You are solely responsible for deciding what information to enter into TrackDX.

4. No Guarantee of Accuracy

Although we intend TrackDX to perform its calculations and analyses accurately, TrackDX does not warrant that any calculation, statistic, trend, pattern, association, or other result will be accurate, complete, reliable, or suitable for any particular purpose.

Software may contain errors, bugs, defects, or inaccuracies. Statistical analyses may produce results that do not accurately reflect the underlying causes or relationships among health conditions, symptoms, medications, triggers, or other factors.

You are responsible for evaluating TrackDX’s results appropriately and discussing health-related questions with a qualified healthcare professional.

5. No Treatment Recommendations

TrackDX may display statistical relationships involving medications, treatments, symptoms, or other health-related factors.

Such information is not a recommendation or instruction to begin, stop, increase, decrease, substitute, or otherwise modify any medication or treatment.

You should never make a medical decision based solely on information provided by TrackDX.

6. User Data and On-Device Storage

TrackDX is designed so that information entered by users is stored locally on the user’s device and is not uploaded to TrackDX’s servers.

TrackDX does not sell users’ health information.

You acknowledge that the security and availability of information stored on your device may depend on your device, operating system, security settings, backups, and other services or software outside TrackDX’s control.

You are responsible for maintaining appropriate security of your device, including the use of device passcodes, biometric authentication, and other available security measures.

7. Your Responsibility for Your Device and Data

You are responsible for:

  • maintaining access to your device;
  • maintaining appropriate device security;
  • maintaining backups of information you wish to preserve;
  • ensuring that information entered into TrackDX is accurate; and
  • determining whether TrackDX is appropriate for your individual circumstances.

If you delete TrackDX or lose access to your device, information stored locally by TrackDX may no longer be available.

8. License

Subject to your compliance with these Terms, TrackDX, LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download and use TrackDX for your personal, non-commercial purposes on devices that you own or control.

You may not:

  • copy, modify, distribute, sell, lease, rent, or sublicense TrackDX;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code of TrackDX except to the extent permitted by applicable law;
  • use TrackDX to provide services to third parties;
  • remove proprietary notices;
  • interfere with or circumvent security features; or
  • use TrackDX for any unlawful purpose.

9. Premium Features and Purchases

Certain TrackDX features may require a one-time purchase or other payment.

All purchases are processed through the applicable app store or payment platform. Purchases may be subject to the terms and conditions of Apple, Google, or the applicable payment provider.

Unless otherwise required by applicable law or expressly stated at the time of purchase, purchases are non-refundable.

TrackDX, LLC does not control the policies or procedures of Apple, Google, or other third-party payment providers.

10. Intellectual Property

TrackDX, including its software, design, graphics, trademarks, logos, text, functionality, and other content, is owned by or licensed to TrackDX, LLC and is protected by applicable intellectual-property laws.

These Terms do not transfer any ownership rights in TrackDX to you.

You retain ownership of information that you personally enter into TrackDX, subject to the operation of the App and applicable law.

11. Updates and Changes

TrackDX may be modified, updated, improved, or discontinued at any time.

We may release updates that modify, add, or remove features or functionality.

We do not guarantee that any particular feature will remain available indefinitely.

You may be required to install updates to continue using TrackDX.

12. Third-Party Services

TrackDX may interact with services provided by Apple, Google, device manufacturers, operating-system providers, or other third parties.

Those services are outside TrackDX’s control, and TrackDX is not responsible for their availability, functionality, security, or policies.

Your use of third-party services may be subject to additional terms and privacy policies imposed by those providers.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRACKDX IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACKDX, LLC DISCLAIMS WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WE DO NOT WARRANT THAT TRACKDX WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM DEFECTS OR THAT ANY INFORMATION, STATISTIC, CALCULATION, TREND, PATTERN, OR OTHER RESULT PROVIDED BY TRACKDX WILL BE ACCURATE OR RELIABLE.

NOTHING IN THIS SECTION LIMITS ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED UNDER APPLICABLE LAW.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRACKDX, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE TRACKDX.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACKDX, LLC’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO TRACKDX OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR TRACKDX DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

15. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TrackDX, LLC and its members, managers, officers, employees, contractors, licensors, and service providers from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your violation of these Terms;
  • your misuse of TrackDX;
  • information you enter into TrackDX; or
  • your violation of applicable law or the rights of another person.

This provision does not require you to indemnify TrackDX for TrackDX’s own unlawful conduct or liability that cannot legally be shifted to you.

16. Termination

You may stop using TrackDX at any time.

We may suspend or terminate your access to TrackDX if you materially violate these Terms or if necessary to protect TrackDX, its users, or others.

Upon termination, the license granted to you under these Terms will end.

17. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles, except to the extent that applicable law requires otherwise.

Any dispute that cannot be resolved informally will be subject to the applicable courts having jurisdiction under Virginia law, except where applicable law provides otherwise.

18. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through the App or by other reasonable means.

Your continued use of TrackDX after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

19. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

20. Entire Agreement

These Terms and the TrackDX Privacy Policy constitute the entire agreement between you and TrackDX, LLC concerning your use of TrackDX, except for additional terms that may apply to particular features or purchases.
